Bank Guarantee Format in India: Sample BG Draft, Clauses and RBI Guidance

This page provides a practical specimen bank guarantee for use as a drafting reference in India, together with guidance on financial guarantees, performance guarantees, bid bonds, advance-payment guarantees, foreign guarantees and deferred-payment guarantees.

Important: A bank guarantee is transaction-specific. The beneficiary's prescribed format, tender or contract conditions, issuing bank requirements, stamp-duty rules applicable in the relevant State or Union Territory, and any sector-specific or foreign-exchange requirements should be checked before execution.

Legal and RBI framework for bank guarantees in India

Chapter VIII of the Indian Contract Act, 1872 deals with indemnity and guarantee. Section 126 defines a contract of guarantee and the expressions "surety", "principal debtor" and "creditor"; the succeeding provisions address matters including consideration, the surety's liability, continuing guarantees and circumstances affecting discharge of the surety.

The Reserve Bank of India regulates the guarantee business of banks through its directions and master circulars. RBI's Master Circular on Guarantees and Co-acceptances covers, among other matters, financial and performance guarantees, safeguards, fraud-prevention measures, payment of invoked guarantees, export-related guarantees and prudential requirements. RBI guidance also advises beneficiaries to verify the genuineness of a guarantee with the issuing bank.

For guarantees in favour of Central Government departments and public-sector bodies, the applicable tender or departmental form should be followed. RBI guidance refers to a model form of bank guarantee bond for the Government of India scheme and states that beneficiary departments and the purpose of the guarantee should be identified clearly.

Common types of bank guarantees

Type Typical purpose Key drafting point
Performance Guarantee Secures performance of contractual obligations. Identify the contract and state precisely when the beneficiary may invoke the guarantee.
Financial Guarantee Secures a payment or financial obligation. State the maximum liability and payment-demand mechanism clearly.
Bid Bond / Earnest Money Guarantee Supports a bid or tender obligation. Match the tender conditions, amount and required validity/claim period.
Advance Payment Guarantee Secures repayment or adjustment of an advance. Specify whether liability reduces as the advance is recovered and how reduction is evidenced.
Deferred Payment Guarantee Secures payment of instalments falling due over time. Set out the payment schedule, overall cap and expiry/claim mechanics.
Foreign / Overseas Guarantee Supports permitted cross-border contractual or financial obligations. Check FEMA/RBI requirements, currency, governing law, presentation method and correspondent-bank requirements.

Sample Bank Guarantee Format

The following specimen retains the essential substance of a conventional unconditional-demand bank guarantee while making the liability cap, validity and invocation mechanics clearer. It should be adapted to the beneficiary's approved form and the underlying transaction.

Bank Guarantee Drafting and Verification Checklist

  • Identify all parties correctly: issuing bank, applicant/principal debtor and beneficiary.
  • Identify the underlying transaction: contract, tender, purchase order or other secured obligation, including date and reference number.
  • State the liability cap: specify the maximum amount in figures and words and, for foreign guarantees, the currency.
  • Separate validity from claim requirements: state the expiry date and the final date/place/method for receipt of a compliant demand.
  • Match invocation wording to the commercial requirement: determine whether the guarantee is unconditional/on-demand or conditional and avoid contradictory clauses.
  • Address reductions and extensions: for advance-payment or phased guarantees, specify whether liability reduces; extensions should be authenticated by the bank.
  • Check execution requirements: obtain the issuing bank's authorised signatures/authentication and comply with applicable stamp duty and beneficiary formalities.
  • Verify genuineness: beneficiaries should verify the guarantee directly through the issuing bank's recognised verification channel.
  • Cross-border cases: check applicable FEMA/RBI directions and authorised-dealer bank requirements before issue or acceptance.

For a government or public-sector tender, also follow the current prescribed guarantee form supplied in the tender or contract. If there is any inconsistency between a generic specimen and a mandatory beneficiary format, professional advice should be obtained before altering the prescribed terms.

Frequently Asked Questions

Is one standard bank guarantee format suitable for every transaction?

No. The form depends on the purpose of the guarantee, the underlying contract, beneficiary requirements, bank policy and applicable law. Tender and government guarantees frequently require a prescribed format.

What is the difference between a performance guarantee and a financial guarantee?

A performance guarantee supports performance of contractual obligations, while a financial guarantee primarily secures a payment obligation. RBI treats both as guarantee business but directs banks to exercise due caution in performance-guarantee business.

Should the guarantee show both a validity date and a claim date?

Where the transaction uses separate validity and claim periods, both should be stated unambiguously. The drafting should clearly explain when the secured obligation is covered and by when, where and how a demand must reach the bank.

Can a bank guarantee be extended?

Yes, where the issuing bank agrees and issues or authenticates the extension in accordance with its procedure. Parties should not assume that an extension of the underlying contract automatically extends the bank guarantee.
