SARFAESI Act, 2002 | Chapter III

Section 13: Enforcement of Security Interest

Section 13 of the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 permits secured creditors to enforce qualifying security interests without first obtaining a court decree, subject to the safeguards prescribed by the Act and the Security Interest (Enforcement) Rules, 2002.

Key procedure: Default and NPA classification (subject to the debt-securities exception), a written 60-day demand notice, consideration of objections, and, if dues remain unpaid, enforcement measures under Section 13(4). Affected persons may seek relief under Section 17.

Meaning and scope of Section 13

A secured creditor is a creditor covered by Section 2(1)(zd), including eligible banks, financial institutions, debenture trustees and asset reconstruction companies. A secured asset is property over which a security interest is created. A non-performing asset (NPA) is an asset or account classified under the applicable regulatory framework and statutory definition. The Act operates alongside the Reserve Bank of India prudential directions and the applicable enforcement rules.

Procedure for enforcing security interest

1. Demand notice under Section 13(2) and 13(3)

After the required default and NPA classification, the creditor may issue a written notice requiring payment in full within 60 days. The notice must identify the amount payable and the secured assets proposed to be enforced. The special statutory treatment of debt securities and debenture trustees must also be considered.

2. Objections under Section 13(3A)

The borrower may make a representation or objection. If the creditor rejects it, reasons must be communicated within 15 days of receipt. Rejection alone does not ordinarily trigger a Section 17 application; that remedy generally arises upon a Section 13(4) measure.

3. Possession and other measures under Section 13(4)

On non-payment after the notice period, the creditor may take possession and sell, lease or assign secured assets; take over qualifying secured business management; appoint a manager; or require specified third parties to pay amounts owed to the borrower. Possession and sale must comply with the applicable rules, including valuation, reserve price, notices and sale procedure.

4. Redemption and auction under Section 13(8)

Section 13(8) restricts transfer if the full dues and applicable costs are tendered before publication of the relevant sale notice. The timing and scope of redemption are also affected by applicable rules and judicial interpretation. The borrower should not assume that a later tender automatically invalidates an auction process.

5. Recovery of balance and legal remedies

Section 13(9) addresses joint financing and requires creditors holding at least 60% by value of outstanding dues to agree to enforcement, subject to the Insolvency and Bankruptcy Code, 2016. Section 13(10) permits proceedings for a remaining shortfall. Under Section 17, an aggrieved person can generally approach the Debts Recovery Tribunal within 45 days of the challenged Section 13(4) measure.
