Information and Intimation Forms to be Filed with ROC under the Companies Act, 2013
Companies are required to inform the Registrar of Companies (ROC) about specified corporate events, orders and regulatory changes through the prescribed MCA forms. The form to be filed depends on the event, the applicable provision of the Companies Act, 2013 and the relevant rules.
Important ROC Information Forms
| Form | Purpose | Relevant legal context |
|---|---|---|
| INC-20 | Intimation to the Registrar regarding revocation or surrender of a licence issued to a Section 8 company. | Section 8 of the Companies Act, 2013 and the applicable Companies (Incorporation) Rules, 2014. |
| INC-28 | Notice to the Registrar of an order of a Court, Tribunal or other competent authority where filing of that order is required. | Used across provisions of the Companies Act, 2013 where an order is required to be registered or intimated to the ROC. |
| Form 35A | Legacy form concerning an offer of a scheme or contract involving transfer of shares from a transferor company to a transferee company. | Form 35A belongs to the Companies Act, 1956 framework. It should not be treated as a general current filing form under the Companies Act, 2013. |
Form INC-20 - Revocation or Surrender of Section 8 Licence
Section 8 deals with companies formed for charitable or other permitted not-for-profit objects where profits, if any, are applied towards the company's objects and payment of dividend to members is prohibited. Such a company operates under a licence granted under Section 8.
Form INC-20 is used to intimate the Registrar about revocation or surrender of the licence issued under Section 8. The MCA instruction material states that the filing captures whether the matter is voluntary or pursuant to Central Government directions, details of the relevant order and the resulting company name, as applicable.
Form INC-28 - Notice of Court, Tribunal or Competent Authority Order
Form INC-28 is the prescribed electronic notice used where an order of a Court, Tribunal or another competent authority is required to be filed with the Registrar. Depending on the underlying provision, the order may relate to approval, extension of time, condonation, restoration or another corporate-law proceeding.
The filing requirement and time limit should always be checked against the particular section, rules and the terms of the order. For example, MCA has specifically enabled INC-28 filings for restoration orders under Section 252 in appropriate cases.
Form 35A - Legacy Companies Act, 1956 Form
The earlier page listed Form 35A for information concerning an offer of a scheme or contract involving transfer of shares or a class of shares in a transferor company to a transferee company. MCA's own instruction material identifies this as a form governed by the Companies Act, 1956 framework.
How to Identify the Correct ROC Form
First identify the corporate event and the section of the Companies Act, 2013 that creates the filing obligation. Then read the applicable rules and check the current MCA filing service or instruction kit. The form number alone should not be relied upon because MCA filing architecture, web forms and instruction material can change.
Before submission, verify the company's CIN, the statutory due date, required attachments, board or shareholder approvals where applicable, digital-signature requirements and whether professional certification is prescribed. Keep the SRN and acknowledgement generated by the MCA system as filing records.
